  • The Shareholders' General Meeting serves as the overriding authority of the Bank of China. The Bank has also established an effective channel of communication with shareholders to guarantee they enjoy equal treatment, with the right to be informed, participate and vote on material matters of the Bank.
  • The Board of Directors serves as the decision-making body of the Bank. After reelection in 2007, the Board of Directors of the Bank consists of 16 members, namely, the Chairman, 3 executive directors, 8 non-executive directors and 4 independent directors. Committees subordinate to the Board of Directors include the Strategic Development Committee, Audit Committee, Risk Policy Committee, Personnel and Remuneration Committee, and Connected Transactions Control Committee, all of which are responsible for assisting the Board of Directors in performing their various responsibilities.
  • The Board of Supervisors acts as the supervisory body of the Bank responsible for ensuring compliance with the law and the fulfillment of the duties of the Board of Directors and the Senior Management in accordance with the provisions of the Company Law and the Articles of Association of Bank of China Limited. There are five members of the Board of Supervisors, including three shareholder supervisors and two employee supervisors.
  • As the executing body of the Bank, the senior management follows the President Responsibility System, under which vice presidents and other senior management members assist with the President's work. Subordinate to the Senior Management are the operation management committees, which include the Corporate Banking Committee, Personal Banking Committee, Global Markets Committee and Operation Service Committee, as well as special committees such as the Internal Control Committee, Procurement Review Committee, Asset Disposal Committee, Anti-money Laundering Committee and Securities Investment Management Committee. All of these committees are responsible for coordinating the organization-wide businesses of the Bank. The Senior Management of the Bank performs their duties as far as they are authorized to do so within the Articles of Association of Bank of China Limited. Together with the Board of Directors, they are tasked with organizing the operation and management of the Bank and promoting the sound and sustainable development of various businesses of the Bank.
